1. Introduction and Acceptance
These Terms and Conditions ("Terms") govern your access to and use of the services provided by We Just In Time (Pty) Ltd ("weJIT", "we", "us", or "our"), a company registered in the Republic of South Africa. By subscribing to any of our plans, submitting a procurement request, or otherwise using our platform at www.wejustint.com ("the Platform"), you ("the Client", "you", or "your") agree to be bound by these Terms in their entirety.
If you do not agree to these Terms, you must not use the Platform or our services. These Terms constitute a binding legal agreement between you and weJIT in accordance with the Electronic Communications and Transactions Act 25 of 2002 (ECT Act) and the Consumer Protection Act 68 of 2008 (CPA).
2. Description of Services
weJIT provides a B2B procurement facilitation and price negotiation service to businesses operating in South Africa. Our services include, but are not limited to:
- Price Negotiation: Acting as an intermediary to negotiate favourable pricing with verified suppliers on behalf of the Client for specified goods and services.
- Supplier Matching: Identifying and connecting Clients with suitable suppliers within our verified network.
- Procurement Advisory: Providing guidance and recommendations on procurement strategy and supplier selection.
- Purchase Order Funding (Coming Soon): Facilitating short-term capital to fund approved purchase orders.
- Invoice Discounting (Coming Soon): Converting outstanding invoices into immediate working capital.
weJIT acts as a facilitator and intermediary only. We do not manufacture, stock, sell, or deliver any physical goods. All contracts for the supply of goods or services are concluded directly between the Client and the relevant supplier. weJIT is not a party to any such supply contract and accepts no liability for the performance, quality, or delivery of goods or services negotiated on your behalf.
3. Subscription Plans and Pricing
weJIT offers three subscription tiers, the details of which are published on the Pricing page of the Platform. All prices are quoted in South African Rand (ZAR) and are exclusive of VAT unless otherwise stated. Pricing is subject to change with no less than 30 days' written notice to existing subscribers.
The Starter plan Launch Special rate of R499/month is valid until 31 May 2026. Subscribers who lock in this rate before that date will retain it for as long as their subscription remains active.
4. Subscription, Billing, and Payment
Subscriptions are billed on a monthly recurring basis from the date of sign-up. Payment is due in advance at the beginning of each billing cycle. Failure to pay within 7 days of the due date may result in suspension of your account. All payments are non-refundable except as expressly provided in our Returns Policy or as required by applicable South African law.
5. First Negotiation Free
New Clients may submit one (1) procurement request at no charge, without subscribing to a plan. This offer is available once per business entity. Attempts to claim this offer multiple times using different contact details for the same business will be considered a breach of these Terms. The offer is subject to availability and may be withdrawn at any time without notice.
6. Client Obligations
By using our services, you agree to:
- Provide accurate, complete, and up-to-date information about your procurement requirements.
- Respond to communications from weJIT within a reasonable time to avoid delays.
- Not use the Platform for any unlawful purpose, including procurement of prohibited goods, money laundering, or fraud.
- Not attempt to circumvent weJIT by directly contacting suppliers introduced through our platform for a period of 12 months following any negotiation without weJIT's written consent. A breach may result in a circumvention fee equal to 10% of the transaction value.
7. Savings Guarantee and Limitation of Liability
weJIT guarantees to use reasonable commercial efforts to secure pricing lower than your current or market-rate pricing. If weJIT is unable to achieve any measurable saving in a given billing month, the Client may request a refund of that month's subscription fee within 14 days of the end of that billing month. weJIT's total liability shall not exceed the total subscription fees paid in the 3 months immediately preceding the claim. weJIT shall not be liable for any indirect, consequential, special, or punitive damages. Nothing in these Terms limits liability for fraud, gross negligence, or wilful misconduct.
8. Intellectual Property
All content on the Platform is the property of weJIT or its licensors and is protected by South African and international intellectual property laws. You may not reproduce, distribute, or create derivative works from any content on the Platform without our prior written consent.
9. Confidentiality
Both parties agree to keep confidential all proprietary or sensitive information disclosed in the course of the business relationship, including pricing information, supplier contacts, and procurement strategies. This obligation survives termination of the subscription.
10. Cancellation and Termination
You may cancel your subscription at any time by providing 30 days' written notice to [email protected]. Your subscription will remain active until the end of the current billing cycle. weJIT reserves the right to suspend or terminate your account immediately for material breach of these Terms or fraudulent activity.
11. Dispute Resolution
In the event of a dispute, the parties agree to first attempt resolution through good-faith negotiation within 21 days of written notice. Unresolved disputes shall be referred to mediation under AFSA before any legal proceedings are instituted. These Terms are governed by the laws of the Republic of South Africa, and the parties consent to the jurisdiction of the KwaZulu-Natal High Court, Durban Division.
12. Changes to These Terms
weJIT reserves the right to amend these Terms at any time. For material changes, we will provide at least 14 days' notice by email. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
